Please read these Terms of Service ("Terms") carefully before using the BasketAI service at getbasketai.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What BasketAI is — and what it is not

BasketAI is a recipe-discovery and shopping-assistance tool. It helps you find recipes, match their ingredients to grocery products, and — if you connect a participating grocery retailer account such as Kroger — stage selected ingredients into your own cart on that retailer's platform.

BasketAI acts as your assistant, not as a merchant, retailer, or purchasing agent:

• No auto-purchases. BasketAI never places an order, never checks out, and never submits payment on your behalf. Items may be *added to your retailer cart* at your direction; that is a staging action only.
• You control checkout. Before any purchase happens, you review the cart, you verify prices, quantities, availability, and substitutions, and you complete payment and checkout directly on the retailer's own website or app, under the retailer's own terms.
• No custody of your money or groceries. BasketAI does not hold payment instruments, does not process payments, does not fulfill orders, and is not a party to the sale. The contract of sale for anything you buy is exclusively between you and the retailer.
• Prices are point-in-time. Product, price, and availability information shown in BasketAI comes from retailer APIs and may change or be inaccurate between the moment we fetch it and the moment you check out. Always confirm at the retailer before purchase.

By using the retailer-connection features, you instruct BasketAI to interact with your retailer account solely as described above, for your benefit, and you remain responsible for everything that happens under your retailer account.

2. Eligibility and your accounts

You must be at least 18 years old (or the age of legal majority where you live) to use the Service. You must hold a valid grocery-retailer account (for example, a Kroger Digital User account) in your own name to use the connection features, and you must authorize BasketAI through the retailer's own OAuth consent process. You are responsible for keeping your retailer and email accounts secure and for all activity that occurs under them.

3. Acceptable use

You agree not to:

1. use the Service for any unlawful purpose, or in violation of any retailer's terms of service (including Kroger's terms, which continue to govern your retailer account and the retailer's platform);
2. attempt to access another user's session, retailer account, or data without authorization;
3. scrape, resell, or bulk-export catalog or price data obtained through the Service, or use such data in a competing service;
4. interfere with, disable, or circumvent the Service or its security, rate limits, or access controls, or abuse retailer APIs through it;
5. upload malicious code, or use the Service to transmit spam or harmful content;
6. misrepresent your relationship with BasketAI or any retailer, or use retailer names or logos in a way that implies endorsement or partnership beyond a factual description of the integration;
7. use the Service in a way that violates the acceptable-use rules of the grocery-retailer developer programs under which our API access is provided — including persistently tracking, recording, or warehousing users' cart or session data (BasketAI itself commits to the opposite; see our Privacy Policy Section 6).

We may suspend or terminate access for violations, and we cooperate with retailers and law enforcement in investigating abuse.

4. Intellectual property

4.1 Our content

The BasketAI name, interface, and original content (including curated recipe text, descriptions, and software) are owned by Belt Fed Labs or its licensors and protected by copyright and other laws. You may use recipe content for your personal, non-commercial cooking and shopping. You may not republish, scrape, or commercially exploit the Service's original content without written permission.

4.2 Recipes and third-party content

Recipes, product listings, images, and prices surfaced through the Service originate from retailers, publishers, or automated generation, and remain subject to their owners' rights. BasketAI does not claim ownership of retailer catalog content. If you believe content surfaced by the Service infringes your copyright, send a notice with the required elements to contact@beltfedlabs.io (DMCA agent: Belt Fed Labs LLC, 6545 Market Ave N Ste 100, Canton, OH 44721).

4.3 Retailer marks

"Kroger" and related retailer names, marks, and logos belong to their respective owners and are used only to identify the services with which BasketAI integrates, in accordance with retailer developer branding guidelines. BasketAI is not endorsed by, sponsored by, or affiliated with The Kroger Co. or any other retailer beyond the developer/API relationship described here.

5. Your feedback

If you send us ideas, bug reports, or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service, with no obligation to you.

6. FOOD SAFETY — READ THIS SECTION

BasketAI helps you discover and plan recipes. You are responsible for food safety in your kitchen.

• Recipes surfaced or generated by the Service are checked against automated food-safety guidelines (for example, internal-temperature references and standard handling rules), but automated checks are not a substitute for human judgment and may contain errors, omissions, or outdated guidance.
• Always cook perishable foods to safe internal temperatures verified with a food thermometer, follow current USDA/FDA (or your local authority's) handling guidance, wash hands and surfaces, refrigerate promptly, and observe use-by dates on packaging.
• Ingredient substitutions, product availability, allergen content, and labeling on retailer products are controlled by the retailer and manufacturers. Allergen information may be incomplete or wrong. If you have a food allergy, verify labels yourself before consuming anything.
• Neither Belt Fed Labs nor any retailer is responsible for illness, injury, or loss arising from your preparation, handling, storage, or consumption of food planned with the Service.

7. Third-party services

The Service depends on third-party platforms — grocery retailers' APIs and websites, and hosting providers. Their terms apply to your use of them. We do not control them, and we are not responsible for their availability, accuracy, changes, or actions. A retailer may change or revoke API access at any time, which may disable features without notice.

8. Disclaimers — "as is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE ABOVE: BASKETAI DOES NOT WARRANT THAT RECIPES ARE ACCURATE, COMPLETE, SAFE, OR FREE OF ALLERGENS; THAT PRICES, AVAILABILITY, OR CATALOG DATA ARE CURRENT OR ERROR-FREE; THAT RETAILER CART STAGING WILL SUCCEED OR MATCH YOUR INTENT; OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT STATED IN THESE TERMS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BELT FED LABS AND ITS CONTRIBUTORS WILL NOT BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR MULTIPLIED DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; OR (B) DAMAGES EXCEEDING THE GREATER OF US$100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITATIONS APPLY TO CLAIMS IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW SOME LIMITATIONS, SO THEY MAY NOT APPLY TO YOU; IN THAT CASE THE LIMITS APPLY TO THE MAXIMUM EXTENT PERMITTED.

In no event are we liable for: prices charged or errors made by a retailer after cart staging; orders you complete on a retailer platform; differences between staged items and delivered items; or food-safety outcomes described in Section 6.

10. Indemnity

You agree to defend and hold harmless Belt Fed Labs and its contributors from claims, damages, and costs (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms or of any retailer's terms, or your use of recipe or product information in a way that harms a third party.

11. Termination

You may stop using the Service at any time and disconnect your retailer account at any time (the Disconnect control revokes our session access). We may suspend or terminate your access with or without notice, including for unacceptable use under Section 3. Sections 4, 6, 8, 9, 10, 12, and 13 survive termination.

12. Changes to these Terms

We may update these Terms as the Service evolves. For material changes we will note the change here and, where feasible, give at least 14 days' notice before they take effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, USA, excluding conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Stark County, except where consumer-protection or mandatory local law requires otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. General

If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy (https://getbasketai.com/privacy), are the entire agreement between you and Belt Fed Labs regarding the Service, and they do not modify any agreement between you and a grocery retailer. You may not assign these Terms; we may assign them in connection with a business transfer. Notices to us: contact@beltfedlabs.io.
